01Who we are

Invarity is a systematic-trading research platform operated from India. In these terms, “Invarity” means the website at invarity.ai, the platform at app.invarity.ai and Ivy together; “we” and “us” mean the operator of Invarity; and “you” means the person or organisation using them.

03Eligibility and accounts

You must be at least 18 years old and capable of entering a binding contract under Indian law to use the platform.

If you register on behalf of a company, fund, desk or other organisation, you confirm that you have authority to bind it to these terms, and “you” includes that organisation.

You are responsible for keeping your password confidential and for everything done through your account. Accounts are personal: do not share credentials or let anyone else use your login. Tell us promptly at support@invarity.ai if you suspect unauthorised access.

You must give us accurate registration details and keep them up to date. We may verify your email address before activating features.

04Not investment advice

We are not registered with the Securities and Exchange Board of India (SEBI) as an investment adviser, research analyst, portfolio manager, stock broker or in any other capacity, and do not hold ourselves out as any of these. We do not manage money, execute trades, or hold client funds or securities.

Any strategy you build, test or paper-trade on the platform is your own. Decisions about whether to trade it with real money, with what capital and through which broker are yours alone, and you should consider taking advice from a SEBI-registered professional before doing so. Trading in securities and derivatives involves substantial risk of loss.

05Backtests, paper trading and AI output

Backtests are hypothetical

Backtested results are historical simulations. They are produced with the benefit of hindsight, do not reflect actual trading, and do not account for every real-world factor such as liquidity, slippage, order rejection, market impact, taxes or changes in regulation. Past performance, simulated or real, does not guarantee future results.

Paper trading is simulated

Paper trading places no real orders and is not connected to any broker or exchange. Fills, prices and timing are approximations. Results from paper trading may differ materially from what the same strategy would achieve in a live account.

Ivy can be wrong

Ivy uses large language models to interpret your description, write specifications and code, and explain results. Its output may contain errors, omissions or misinterpretations of what you asked for. The platform's verdicts and reliability notes are aids to your own judgement, not a substitute for it. You are responsible for reviewing every specification, every line of generated code and every result before relying on it.

Market data comes from third parties

Historical and reference data on the platform is sourced from third-party providers. It may be delayed, incomplete, adjusted, or contain errors, and coverage may change without notice. We do not warrant the accuracy or completeness of any market data.

06Your content

You keep ownership of your content. You grant us a worldwide, non-exclusive, royalty-free licence to store, process, transmit and display your content, and to send it to the third-party services described in section 11, solely to provide, secure and improve the platform for you. This licence ends when you delete the content or close your account, except for copies kept in routine backups for a limited period.

You confirm that you have the rights needed to upload your content and that doing so does not infringe anyone else's intellectual property, breach a confidentiality obligation, or violate any law.

Output is generated for you. To the extent we hold any rights in output, we assign them to you on generation, except for the underlying models, prompts, templates, metric definitions and platform code, which remain ours or our licensors'. Similar or identical output may be generated for other users from similar inputs.

We do not use your content to train machine-learning models without your explicit consent.

07Plans, quotas and payment

• Quota. Each plan gives you a fixed number of backtests per monthly period. Unused backtests do not carry over. Quota is tied to your account and cannot be transferred.
• Free plan. The free plan has a default allowance that we may change from time to time. We may adjust an individual account's allowance during evaluation or testing periods.
• Paid plans. Paid plans are bought as single, one-off purchases for one monthly period. They do not auto-renew, and we do not store your card details. To continue after a period ends, you buy again.
• Payment. Payments are processed by Razorpay in Indian rupees. By paying you also agree to Razorpay's terms. A plan is activated only once the payment is verified.
• Prices and taxes. Prices are shown in the platform and may change. Changes do not affect a period you have already paid for. Prices include applicable GST unless stated otherwise.
• Refunds. Refunds are governed by our Refund Policy.

08Acceptable use

You agree not to:

• use the platform for anything unlawful, including market manipulation, insider dealing or breach of any exchange or SEBI rule;
• scrape, crawl, bulk-download or systematically extract market data, output or any other part of the platform, whether manually or with automated tools;
• reverse-engineer, decompile or attempt to discover the source code, models or prompts behind the platform or Ivy, except where the law expressly allows;
• attempt to bypass quotas, rate limits, authentication or any other technical control;
• share, resell, sublicense or provide access to the platform to anyone else, or use it to build a competing service;
• upload malicious code, or content that infringes others' rights, is defamatory or is otherwise objectionable;
• use Ivy to generate content that is unlawful, harmful or intended to deceive;
• present output as guaranteed, audited or verified performance to any third party.

09Intellectual property

The platform, Ivy, the website, and all software, designs, metric definitions, text, graphics, logos and trade marks in them are owned by us or our licensors and are protected by Indian and international intellectual property law. Except for the rights expressly granted in these terms, no licence is given. “Invarity” and “Ivy” and the associated logos are our marks and may not be used without our written permission.

If you send us suggestions or feedback, we may use them without obligation to you.

10Availability, beta features and changes

We aim to keep the platform available but do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance, security or capacity reasons, usually with notice where practical.

Parts of the platform may be labelled beta, preview, early access or similar, or offered during an evaluation phase. These may change, break or be withdrawn at any time, and are provided without any commitment as to support or continuity.

We may add, change or remove features, data coverage, metrics, plans and limits. Where a change materially reduces what a paid period gives you, we will offer a pro-rated refund or credit for the remainder of that period.

11Third-party services

The platform relies on third-party services to work, including large language models from Google (Gemini), cloud hosting, storage and email from Amazon Web Services, database hosting from MongoDB Atlas, payments from Razorpay, and fonts from Google Fonts. Your content and output may be sent to these providers as needed to deliver the service, as described in our Privacy Policy. We are not responsible for the acts or omissions of these providers, but we choose them with care and bind them to appropriate contractual terms.

12Disclaimers

To the fullest extent permitted by law, the website, platform, Ivy, market data and all output are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or that results will be reliable or profitable. Nothing in these terms excludes liability that cannot be excluded under Indian law.

13Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading losses, lost profits, lost data, loss of opportunity, or any indirect, incidental, special, consequential or punitive loss arising out of or in connection with the platform, Ivy, market data or output, however caused and whether in contract, tort or otherwise, even if we were told such loss was possible.

Our total aggregate liability to you for all claims in any twelve-month period is limited to the fees you paid us in that period.

14Indemnity

You agree to indemnify and hold harmless us and our directors, employees and contractors from any claim, loss, liability or expense, including reasonable legal fees, arising from your content, your breach of these terms, your violation of any law or third-party right, or any trading decision you make using the platform.

15Suspension and termination

You may stop using the platform at any time and may ask us to delete your account by emailing support@invarity.ai.

We may suspend or terminate your access, with or without notice, if you breach these terms, if we are required to by law, if your use creates risk or liability for us, or if we discontinue the platform. If we terminate without cause during a paid period, we will refund the unused portion of that period as described in the Refund Policy.

On termination your right to use the platform ends. Sections 4, 6, 9 and 12 to 16 survive termination.

16Governing law and disputes

These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute, subject to the following: before starting proceedings, you agree to write to us at support@invarity.ai describing the dispute, and both sides will try in good faith to resolve it within 30 days.

Nothing in this section prevents either party seeking urgent injunctive relief in any competent court.

17Changes to these terms

We may update these terms. When we do, we will change the version and effective date at the top of this page and, for material changes, notify you by email or inside the platform before they take effect. Continuing to use the platform after the effective date means you accept the updated terms. If you do not agree, stop using the platform and, if applicable, request a refund under the Refund Policy.
